The problem: a thin contract moves the risk to you
Many SEO offers fill 1 page: the price, the number of articles, and a ranking promise. That page does not name the account owner, the content owner, or what moves in the final month.
The effect appears when the work stops. The buyer asks for the Search Console account, and the agency answers that the property belongs to the agency. The buyer asks for the backlink list, and the agency answers that the list is a company secret.

10 SEO contract clauses and their example sentences
Write the 10 clauses below with numbers and role names. The example sentences are a starting draft. Adjust the party names, the numbers, and the deadlines to your own agreement.

The table puts the effect in the right column. Read that column first, then check whether your contract draft closes each effect.
Clause 1: Account and content ownership
This clause states that the buyer owns the domain, the hosting, the Search Console property, the analytics account, and every piece of text. The agency holds access as a user, not as an owner.

Clause 2: Scope of work
Write the scope as numbers per month: new articles, updated pages, technical fixes, tracked keywords, and reports. Numbers make the work checkable.

Clause 3: Month 3 review right

Clause 4: Ban on risky techniques

Clause 5: Backlink transparency

Without the real data, you cannot check an agency report. Ask for the owner role on the Search Console property and admin rights on the analytics account from day 1 of the contract.

Clause 7: Handover at the end of the contract
Set the item list and 1 deadline. Without a deadline, the handover runs slowly, and the next team starts the work from zero.

Clause 8: Confidentiality
The agency sees your sales data, your prices, and your product plans. A confidentiality clause binds both parties, and it stays in force after the contract ends.

Clause 9: Limits of the guarantee
Write what the agency guarantees and what it does not guarantee. An honest guarantee names the process and the output, not a position on the results page.

Why a ranking guarantee has no place in a contract
An agency does not control the Google algorithm. An agency also does not control your competitors, your product changes, or the way AI engines build an answer. A ranking guarantee sells something the seller does not own.

- 1 analytics account with admin rights on your site property.
- 1 list of domains, hosting, and CMS, with the responsible person for each account.
- 1 scope annex that carries the work numbers per month.
- 1 keyword list and 1 list of AI prompts you want to track.
- 1 official company email address for every account registration.
- 1 lawyer or legal adviser who reads the final draft.
Step 1: Check account ownership before you sign
Open Search Console (Google Search Console), pick your site property, then open Settings and then Users and permissions. Check whether your company email holds the Owner role.
When the previous agency holds the owner role, ask for a transfer before the new contract starts. Keep a screenshot of the user list as evidence. Repeat the same check on the analytics account and the domain registrar account.
Pass criterion: your company email appears as the owner on each account. No private email of a former staff member or a former agency stays on that list.
Step 2: Lock the scope of work into numbers
